      <p align="center">The Spring Creek Ranch Getaway Sweepstakes is sponsored by Honeymoons.com, <br />
        a web site owned and operated by TMS Holding LLC.</p>
<p>The one (1) prize awarded will consist of:  5 days, 4 nights for two at Spring Creek Ranch Resort in Jackson Hole Wyoming including (1) dinner for two, breakfast each morning, welcome basket, (1) all day snowmobiling adventure for two. Retail value ("RV") $2,750.00. </p>

        <li><strong>Who Can Enter:</strong>  Any legal U.S. resident, age 18 or older by the time of entry.  Only one registrant per household is accepted.  Employees of Honeymoons.com or Spring Creek Ranch Resort. of Jackson Hole, WY, their affiliated and subsidiary companies, and the respective members of their households or immediate families are not eligible to participate.<br />
          <br />
  </li>
        <li><strong>How to Enter:</strong>  To enter electronically, logon to <a href="http://www.honeymoons.com/">www.honeymoons.com</a> and click on the "Contest" tab. Enter the Spring Creek Ranch Resort Sweepstakes by completing and submitting the survey on this page of Honeymoons.com.  When you enter on-line, you may be asked to consent to receive promotional emails and reminders for upcoming promotions and /or information about Honeymoons.com.  Consenting to receive such emails is optional and does not have to be agreed to in order to be eligible to enter the Sweepstakes and does not improve your chances of winning. <br />
          <br />
        A mail-in sweepstakes entry may also be obtained by sending a postcard with full name, postal address, phone number, and email address to Spring Creek Ranch Sweepstakes Entry, c/o Honeymoons.com/TMS Holding LLC, P.O. Box 599, Greenwich, CT 06836.  Mail-in entries must be postmarked no later than November 8, 2011 and received no later than November 15, 2011.  Any mail-in entry improperly dated will be disqualified.  For any mail-in or on-line entry, the Sponsor is not responsible for lost, late, inaccurate, incomplete, damaged, illegible, or misdirected entries as well as mail-in entries lacking proper postage. These entries will be disqualified by the Sponsor.<br />
        <br />
No more than one entry per household may be submitted. No photo-copied or mechanically reproduced entries will be accepted.  On-line entries will be considered submitted by the authorized account holder of the e-mail address submitted at the time of entry.  By entering, you agree to be bound by these Official Rules.<br />

All on-line and mail-in entries must be received no later than 5 p.m. Eastern Time 
        on November 15, 2011 to be eligible for the drawing.  Only one entry per household is 
        accepted.<br />

        This Sweepstakes is governed by U.S. law and is subject to all federal, state                 and local laws and regulations.  Void in New York, Florida, Puerto Rico, 
        outside the U.S., and where prohibited by law.<br />

        <li><strong>Sweepstakes Dates:</strong>  The Spring Creek Ranch Getaway Sweepstakes will begin on October 1, 2011 and end on November 15, 2011.  One prize drawing will be held on or about November 15, 2011.  The chances of winning will be based on the number of sweepstakes entries received (via on-line log-ins and registrations received through the mail).  The owners of Honeymoons.com may conclude the sweepstakes program at any time.<br />
          <br />
  </li>
        <li><strong>Prize: </strong> The total retail value of the Spring Creek Ranch Resort Honeymoon Sweepstake prize is $2,750.  The Honeymoon prize is valid for a 4 night stay between December 1, 2011 - April 1, 2012  and is subject to availability. There is no cash value for this package and it may not be sold, transferred or exchanged.   No extensions will be permitted after the expiration date.  Reservations may be confirmed  prior to your requested travel dates. The original prize notification letter must be sent to Spring Creek Ranch Resort to confirm your reservations. The sponsor reserves the right to substitute the prize, or portions thereof, with a prize of equal or greater value.<br />
          <br />
  </li>
        <li><strong>Prize Drawings:</strong>  Winner will be selected at random by Honeymoons.com, based on entries obtained via log-ins and mailed registrations, received by November 15, 2011.  The prize drawing for the sweepstakes will be held on or around November 15, 2011.<br />
          <br />
  </li>
        <li><strong>Odds of Winning:</strong>  Each entrant's odds of winning are dependent on the number of entries received on line and through the mail. <br />
          <br />
        </li>
        <li><strong>Winner Notification:</strong>  The winner will be notified via e-mail or by letter sent via US first-class mail within 24 hours of the prize drawing. Winners will be required to respond to the e-mail or letter to acknowledge receipt of the prize.  Potential winners will be required to sign and return a sworn Affidavit of Eligibility and Liability and Public Release. If no response is obtained within 7 calendar days of notification, attempts will be made to reach the winner by phone or mail.  If no response is obtained from the winner by the last day of the calendar month in which the drawing was held, the prize will be awarded to a replacement winner drawn at random.  Honeymoons.com decisions about winners are final.       <br />

          The prize will be awarded within sixty (60) days after the winner verification is completed by Honeymoons.com.

        <li><strong>Limits of Liability:</strong>  Honeymoons.com (the Sponsor) and its parent company, affiliates, subsidiaries, employees, directors, officers, and agents have no responsibility whatsoever for injuries, losses, or damages of any kind that result from acceptance, possession, or use of any prize.  Honeymoons.com assumes no liability for lost or misdirected entry forms or submissions whether due to technical or computer malfunctions of any kind.  Honeymoons.com reserves the right to cancel the sweepstakes at any time if the Honeymoons.com website is infected by a virus, the website is hacked or the integrity of the sweepstakes is compromised in any way.<br />

        <li><strong>Change to Rules:</strong>  These Official Contest Rules are subject to change each month that the sweepstakes is conducted.  Participants should review the Official Contest Rules each month.<br />

  </li>
        <li><strong>Winner Responsibilities:</strong>  Winners are solely responsible for the reporting and payment of any tax liabilities incurred with the award or use of any contest prize, including any federal, state and local taxes.  Winner will be issued a 1099 tax form for the cash value of the prize.  Winners must submit an affidavit of eligibility and compliance with the Official Contest Rules.<br />

        <li><strong>Publicity:</strong>  Honeymoons.com reserves the right to use the names, likenesses, addresses, including email addresses, of all entrants in the contest for commercial, marketing, or promotional uses without any further compensation, except where prohibited by law.  Each entrant agrees to such use by entering the contest.  Honeymoons.com may also wish to publish the first and last name and location (city/state) of winners, and any quotation that the winner is willing to provide on the Honeymoons.com website.<br />

      <li><strong>Dispute Resolution</strong>: Except where prohibited by law, by entering The Spring Creek Ranch Sweepstakes, you agree that: (i) all issues and questions concerning the interpretation, validity, and enforceability of the Official Contest Rules, or the rights and obligations of the participants, the Sponsor and its agents shall be governed by and construed exclusively in accordance with the laws of the State of Connecticut, without regard to its rules on conflicts of law; (ii) any action at law or in equity arising out of or relating to this Sweepstakes, or awarding of the prizes, shall be filed only in the state or federal courts located in the State of Connecticut, and entrant hereby consents and submits to the personal jurisdiction of such courts for the purposes of litigating any such action; (iii) any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes, or awarding of the prizes, shall be resolved individually, without resort to any form of class action; (iv) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in this Sweepstakes but in no event attorneys' fees; and (v) you hereby waive all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.<br />
